1. The Services

The Vizion Catalyst, led by Charita Raél, provides a dual-track approach to business growth, including:

Strategic Advisory: "Idea Hashing," curriculum development, and business architecture.

Creative Agency Services: 90-Day Blueprints, marketing funnels, and automated infrastructure.

Leadership Vitality: Coaching, bio-optimization protocols, and wellness workshops.

2. Professional Relationship

You acknowledge that Charita Raél is a Business Ascension Advisor and Strategic Consultant. While our "Leadership Vitality" services utilize science-based modalities and spiritual integration, they are not a substitute for professional medical, psychiatric, or legal advice.

3. Intellectual Property (IP)

All proprietary frameworks, "Bio-Leak" protocols, strategy templates, and creative concepts developed by The Vizion Catalyst are the sole intellectual property of Charita Raél.

License to Use: Upon receipt of full payment, clients are granted a non-exclusive, non-transferable license to use the delivered assets and blueprints for their internal business operations.

Restrictions: You may not resell, white-label, or distribute our proprietary frameworks to third parties without express written consent.

4. Payments and Refunds

Bespoke Services: Due to the intensive nature of strategic "Idea Hashing" and the immediate delivery of high-level expertise, all sales for strategy sessions and 90-Day Blueprints are final.

Retainer Services: Ongoing agency execution services require a 30-day written notice for cancellation.

Payment Failures: We reserve the right to suspend all automated systems and funnel infrastructure if scheduled payments are not met.

5. Client Responsibility

Scaling a vision is a partnership. Our success depends on your timely feedback and implementation. You agree to provide the necessary access and information required for our "Whos" (technical specialists) to build your infrastructure.

6. Limitation of Liability

The Vizion Catalyst is not responsible for any loss of revenue or business interruptions resulting from technical changes in third-party platforms (e.g., GoHighLevel, Meta, Google). We provide the tools and the strategy; the ultimate success of the business remains with the client.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina. Any legal action or proceeding relating to your access to, or use of, the Website or Services shall be instituted in a state or federal court in Durham County, North Carolina.

8. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the site or engagement of services following any changes constitutes your acceptance of the new Terms.
